FITOGLOYS TRAINER / SERVICE PROVIDER AGREEMENT

This Trainer / Service Provider Agreement (“Agreement”) is entered into between:

Fitologys Ventures LLP (“Fitologys”),
and
The Trainer / Coach / Service Provider (“Trainer”)

By registering, participating in training, onboarding, or providing services, the Trainer agrees to be bound by this Agreement.

1. Nature of Engagement

The Trainer is engaged as an independent contractor.

Nothing in this Agreement shall be construed to create:

• Employer-employee relationship
• Partnership
• Agency or joint venture

1.1 No Employment Benefits

The Trainer shall not be entitled to any employee benefits, including but not limited to:

• Provident Fund (PF)
• ESIC / ESI
• Gratuity
• Paid leaves (casual, sick, earned, etc.)
• Maternity or paternity leave
• Insurance or other statutory benefits

1.2 No Guarantee of Work or Income

Fitologys does not guarantee:

• Any fixed salary
• Minimum earnings
• Allocation of clients

Engagement is performance-based and demand-based.

2. Mandatory Training & Onboarding

2.1 Precondition to Engagement

Completion of Fitologys’ training and onboarding program is mandatory.

No Trainer shall:

• Be onboarded
• Receive clients
• Deliver services

without successful completion and approval.

2.2 Evaluation & Selection

Fitologys may evaluate Trainers based on:

• Knowledge and expertise
• Communication ability
• Practical skills
• Platform understanding

Selection is at the sole discretion of Fitologys.

2.3 No Guarantee of Selection

Completion of training does not guarantee onboarding.

Fitologys reserves the right to:

• Reject
• Defer
• Re-evaluate

any candidate without obligation.

2.4 No Compensation During Training

The training period shall be unpaid, unless explicitly stated otherwise.

3. Scope of Services

The Trainer agrees to:

• Provide coaching and fitness-related services
• Assist and guide assigned clients
• Monitor and update progress
• Maintain professional communication

4. Roles & Responsibilities

The Trainer acknowledges that:

• Roles and responsibilities are dynamic
• Fitologys may modify, restructure, expand, or reduce duties

at any time, with or without prior notice

No claim shall arise from such changes.

5. Platform Dependency

All services must be delivered exclusively through Fitologys systems.

The Trainer shall not:

• Engage clients outside the platform
• Share personal contact for business purposes
• Accept direct payments

6. Non-Circumvention

The Trainer shall not:

• Directly or indirectly engage with Fitologys clients outside the platform
• Solicit or divert clients

Violation will result in:

• Immediate termination
• Legal action
• Recovery of damages

7. Compensation & Payment

7.1 Attendance-Based Compensation

• Payment is based solely on verified attendance and service delivery
• Attendance must be recorded via:
  • Fitologys mobile application, or
  • Any authorized system

👉 No attendance or verification = No payment

7.2 Final Authority

Fitologys shall have sole authority to:

• Verify attendance
• Approve or reject payouts

Records maintained by Fitologys shall be final and binding.

7.3 No Fixed Salary

• Compensation is variable and performance-based
• No fixed or guaranteed payment exists

8. Code of Conduct

The Trainer shall:

• Maintain professionalism
• Communicate respectfully
• Avoid misleading or unethical behavior

9. Sexual Harassment & Misconduct

The Trainer shall:

• Maintain strict professional boundaries
• Avoid any sexual, romantic, or inappropriate conduct

Violation will result in:

• Immediate indefinite debarment
• Possible legal action

10. Confidentiality

The Trainer agrees to:

• Protect client information
• Not disclose Fitologys systems or processes
• Not misuse any confidential data

11. Intellectual Property

All:

• Content
• Systems
• Processes

are the exclusive property of Fitologys.

The Trainer shall not:

• Copy
• Reuse
• Sell
• Distribute

such material externally.

12. Non-Compete

During engagement and for a reasonable period after termination, the Trainer shall not:

• Use Fitologys clients for personal business
• Replicate Fitologys business model

13. Data & System Usage

The Trainer shall:

• Use only authorized systems
• Not manipulate or misuse platform data

Violation may result in termination and legal action.

14. Termination

Fitologys may:

• Terminate the Trainer at any time
• Without prior notice

The Trainer may:

• Discontinue engagement voluntarily

15. Liability Disclaimer

The Trainer acknowledges that:

• They are solely responsible for their conduct
• Fitologys shall not be liable for:
  • Trainer-client interactions
  • Any damages arising from Trainer actions

16. Legal & Dispute Resolution

• Governed by the laws of India
• Jurisdiction: Bhopal, Madhya Pradesh
• Disputes shall be resolved through arbitration

17. Acceptance of Terms & Policies

The Trainer acknowledges that they have read and accepted:

• Terms & Conditions
• Privacy Policy
• This Agreement
• All applicable policies

17.1 Deemed Acceptance

By:

• Registering
• Training
• Using the platform

the Trainer is deemed to have accepted all terms.

17.2 No Excuse Clause

Failure to read any policy shall not be a valid defense.

18. No Leave & Absence Policy

• No leave benefits shall apply
• No payment shall be made for absence
• Engagement is flexible and unpaid during inactivity

19. Modifications

Fitologys reserves the right to:

• Modify this Agreement at any time

Continued engagement shall constitute acceptance of such changes.

20. Final Acceptance

By onboarding or continuing services, the Trainer confirms that:

• They have read and understood this Agreement
• They agree to be legally bound
• They waive any claim to employment status or benefits
